("NetDimensions" or "the Company")

Issue of Equity, PDMR shareholding and total voting rights 

The Company has today issued 50,000 new ordinary shares of US$ 0.001, to Larry Preiser, NetDimensions Chief Sales Officer. Larry Preiser's holding of Ordinary Shares is 50,000 representing 0.2% of the Company's issued share capital.

These shares will rank equally with the existing ordinary shares of the Company. Application has been made for these ordinary shares to be admitted to trading on AIM ("Admission"), which is expected to become effective on 19 October 2009. 

Following Admission the total number of ordinary shares in issue will be 25,013,576 with a nominal value of US$ 0.001 each ("Ordinary Shares"), with voting rights. The Company does not hold any Ordinary Shares in Treasury. 

Therefore, the total number of Ordinary Shares with voting rights will be 25,013,576. There are no shares held in treasury. 

The above figure of 25,013,576 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FSA's Disclosure and Transparency
