Director Shareholding and Total Voting Rights
NetDimensions (AIM:NETD), a global provider of performance, knowledge and learning management systems, announces that on 3 January 2013 the Board has issued and allotted 50,000 ordinary shares of US$0.001 each in the Company ("Ordinary Shares") to the following Non-Executive Directors of the Company. These awards have been made to them as part of their remuneration package.

In addition, upon the exercise of 25,000 options on 3 January 2013, 25,000 ordinary shares of US$0.001 each in the capital of the Company have been allotted and will be issued.
The new Ordinary Shares will rank equally with the existing Ordinary Shares in the Company. Application has been made for these Ordinary Shares to be admitted to trading on AIM ("Admission"), which is anticipated to commence on 8 January 2013.
Netdimensions is also issuing share options to Matthew Chaloner, CFO. The options are to be vested between two and four years. The first tranche vests after two year, the second after three years and the third after four years. The options are all exercisable at a price of 51 pence, and will convert into Ordinary Shares on exercise.

Following Admission the total number of Ordinary Shares with voting rights in issue will be 25,409,826. There are no shares held in treasury.
The above figure of 25,409,826 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FSA's Disclosure and Transparency Rules.
