Exercise of Options, Director/PDMR Dealing and Total Voting Rights
Netcall plc (AIM: NET), the leading provider of intelligent automation and customer engagement software, announces that it has issued and allotted 234,090 new ordinary shares of 5 pence each ("Ordinary Shares") following the exercise of share options by Michael Jackson, Non-Executive Director, and employees of the Company, respectively of 180,951 and 53,139 Ordinary Shares.
Mr Jackson has sold 180,951 Ordinary Shares at a price of 90 pence per Ordinary Share.
Following the exercise of options, the issue of the 180,951 new Ordinary Shares and sale of 180,951 Ordinary Shares, Mr Jackson's shareholding remains unchanged at 1,746,450 Ordinary Shares of 5 pence, representing 1.06 per cent. of the enlarged issued share capital of the Company.
Application has been made to the London Stock Exchange for the 234,090 new Ordinary Shares to be admitted to trading on AIM ("Admission") and it is expected that Admission will become effective and trading will commence at 8.00 a.m. on 17 April 2024.
The Company advises that, following Admission, the Company's issued share capital will be 166,714,327 Ordinary Shares which includes 1,869,181 Ordinary Shares which are held in treasury. As such the Company's total number of Ordinary Shares with voting rights is 164,845,146.
The above figure of 164,845,146 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
