PRIVATE PLACING

Narf Industries plc ("Narf", the "Company", or the "Group") (LSE: NARF)(OTCQB: NFIN.F) the cybersecurity group specialising in high-end threat intelligence and critical infrastructure security, announces completion of a small private placement to an Institutional Investor at 2p.

Placing

The Company has issued 4,900,000 new ordinary shares of £0.0001p each as part of a private placement to an investor at a price of 2.0 pence per share.

Application is being made for admission of the 4,900,000 Ordinary Shares to the Official List of the FCA and trading on the London Stock Exchange's Main Market for listed securities ("Admission"), which is expected to occur at 8 a.m. on or around 6 October 2022.

The Placing Shares will rank pari passu with the existing Ordinary Shares, including the right to receive all dividends and other distributions declared after the date of their issue.

Total Voting Rights

On Admission the Company will have 1,697,381,100 Ordinary Shares in issue. The Company holds no shares in treasury. Accordingly, the figure of 1,697,381,100 can be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company, under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
