Result of General Meeting and Total Voting Rights
Following Highams Systems Services Group PLC's (AIM: HSS) announcement on 27 September 2011 of its proposed acquisition of Nakama Group Limited, a technology recruitment business operating from offices in London, Melbourne, Sydney and Hong Kong and specialising in recruitment for the digital technology and interactive media industry, the Company is pleased to announce that at the General Meeting held today, all resolutions proposed were duly passed.
As a result of the passing of the resolutions, Stefan Ciecierski has become the Company's new Chief Executive. The Company will also be renamed Nakama Group PLC to reflect the enlarged group's international reach. The change of name is expected to become effective later today and therefore with effect from Monday 17 October the Company's ordinary shares will trade on AIM under the new name and new TIDM "NAK".
Application has been made to the London Stock Exchange for the admission to trading on AIM of the Consideration Shares, as defined in the announcement on 27 September 2011, representing 48,773,016 ordinary shares of 0.01 pence each in the Company. Trading in the Consideration Shares is expected to become effective on 14 October 2011, following which there will be 117,791,441 ordinary shares of 0.01 pence each in the Company in issue, with an equal number of voting rights and no shares held in treasury. This is the number of shares which may be used as the denominator for the calculations by which a shareholder may determine if they are required to notify their interest, or a change to their interest, in the Company in accordance with the FSA's Disclosure and Transparency Rules.
