Ninety One plc Repurchase of Shares
On 6 March 2025, Ninety One plc (the "Company") announced that it had initiated a share repurchase programme of up to £30 million (the "Programme"), beginning with an initial tranche of up to £5 million. Under the Programme, the Company's ordinary shares will be purchased in the open market and cancelled to reduce the Company's ordinary share capital.
The Company has entered into an agreement (the "Agreement") with Citigroup Global Markets Limited ("Citi") to undertake the Programme on its behalf and to make trading decisions under the Programme independently of the Company. Citi will purchase the Company's ordinary shares on the London Stock Exchange, as riskless principal, subject to certain parameters agreed between the Company and Citi, and the Company's right to terminate the Agreement in certain circumstances.
Today, the Company announces its intention to increase the initial tranche of the Programme from up to £5 million to up to £25 million and to extend the date for purchases to be completed to no later than 31 March 2026 (subject to regulatory approval remaining in place).
The purchase of ordinary shares under the Programme will be effected within the scope of any authority to repurchase ordinary shares conferred on the Company in its general meeting, the UK Market Abuse Regulation, the Companies Act 2006 and the Financial Conduct Authority's UK Listing Rules.
