Issue of Equity under Offer

The Board of Board of Molten Ventures VCT plc (the "Company") is pleased to announce that in accordance with the terms of the Offer for Subscription dated 11 October 2024 (the "Offer"), 278,213 Ordinary Shares of 5p each were allotted on 16 April 2025 at offer prices ranging from 41.74p to 43.82p (due to the operation of the pricing formula) based on an unaudited net asset value of 41.7p per share which has been adjusted down for the 1p dividend which was declared and went ex-dividend on 27 March 2025. The allotment of shares will rank pari passu with existing Ordinary Shares.

It was announced on 25 March 2025 that the Offer was fully subscribed and was closed for applications. In total 15,531,201 Ordinary Shares were issued by the Company pursuant to the Offer, raising in aggregate, £6.7 million before costs.

The issued share capital and total voting rights of the Company is now 290,697,160 Ordinary Shares.

The above figure may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Molten Ventures VCT plc under the Financial Conduct Authority's (FCA) Disclosure Guidance and Transparency Rules.

Application for the Shares to be admitted to the Official List of the UK Listing Authority and to trading on the London Stock Exchange's market for listed securities will be made at the earliest practicable opportunity. Dealings are expected to commence on or around 25 April 2025.
