Director's Dealing and Application for Admission of Ordinary Shares

Mulberry Group plc ("Mulberry" or the "Company") has been notified that Godfrey Davis, Non Executive Chairman, has exercised options over a total of 11,069 ordinary shares of 5 pence each in the Company (the "Ordinary Shares") as follows:

Under the terms of the Company's share option schemes, Godfrey Davis has agreed to receive cash (net of the exercise price of the relevant options) in lieu of Ordinary Shares, which will be satisfied through the issue and sale of 11,069 new Ordinary Shares by the Company. 7,922 of these new Ordinary Shares were conditionally placed on 31 July 2013 at a price of £9.68 per Ordinary Share and 3,147 of these new Ordinary Shares were conditionally placed today, 1 August 2013, at a price of £9.625.

Following this transaction, Godfrey Davis' beneficial interest in the Company consists of 718,527 Ordinary Shares representing 1.20% of the Company's issued Ordinary Shares. Godfrey Davis also holds vested rights over 300,000 Ordinary Shares under Mulberry's Co-Ownership Plan, 18,298 vested nil cost options under the Company's Deferred Bonus Plan and 90,000 options under the Company's 2008 Unapproved Share Option Scheme.

Pursuant to the exercise of options and issue and sale of new Ordinary Shares noted above, the Company has made an application to the London Stock Exchange for 11,069 new Ordinary Shares to be admitted to AIM. The new Ordinary Shares will rank pari passu in all respects with the existing Ordinary Shares in issue. It is expected that admission of 7,922 new Ordinary Shares will take place on 7 August 2013 and that admission of 3,147 new Ordinary Shares will take place on 8 August 2013.
