Results of the Annual General Meeting and Board Composition
Matomy Media Group Ltd. (LSE:MTMY) (the "Company"), one of the world's leading digital performance-based advertising companies, announces that the following resolutions proposed at its annual general meeting (the "AGM") held on 27 October 2015 were duly passed.
The results of the AGM resolutions are shown below.

The board of directors (the "Board") is pleased to announce that shareholders approved the re-election as Directors of each of: Mr. Ilan Shiloah, Mr. Rupert Howell, Mr. Harel Beit-On, Mr. Rishad Tobaccowala, Ms. Nathalie Schwarz, Mr. Ofer Druker and Mr. Sagi Niri. Their appointment will remain in effect until the next AGM.
In addition, Matomy Media Group Ltd. announces the resignation with immediate effect of Mr. Gary Hughes from its Board due to his existing work and other personal commitments. The Board would like to thank Mr. Hughes for his valuable service to the Company, and wishes him well in the future with his other ventures.
Mr. Zohar, who is an External Director, and a member of the Audit Committee, who was appointed for a three year term on 7 October 2014, will assume Chairmanship of the Audit Committee. Mr. Zohar brings to the role his significant financial and corporate knowledge, coupled with wide-ranging international experience and comprehensive understanding of the Company's activities.
A formal process to identify a candidate to replace Mr. Hughes is currently underway, and, in accordance with the provisions of the Israeli Companies Law 5759-1999 (the "Companies Law"), the Board hopes to announce one or more candidates within 90 days from the date hereof.
