Mothercare PLC02 July 2007 To the London Stock Exchange Via RNS 2 July 2007 Mothercare plc - Voting Rights and Share Capital In conformity with the Transparency Directive's ongoing disclosure provisionsfor issuers, the following updated information is provided: Upon the acquisition of Chelsea Stores Holdings Limited, Mothercare plc'scapital was increased by 13,809,494 ordinary shares. Mothercare plc's capitalnow consists of 87,203,690 (at previous month end disclosure, 73,355,313)ordinary shares with voting rights. Mothercare plc holds no shares in treasury,therefore the total voting rights in Mothercare are 87,203,690 (previously73,355,313). The above figure may be used by shareholders as the denominator for thecalculations by which they will determine if they are required to notify theirinterest in, or a change to their interest in, Mothercare plc under the FSA'sDisclosure and Transparency Rules.
