Mothercare PLC25 July 2006 To The London Stock Exchange Via RNS Tuesday 25 July 2006 Dear Sirs Re: Mothercare plc - Vesting of Long-Term Incentive Plan and Share matchingScheme Shares. 2003 Cycle Mothercare plc announces that the under-mentioned director and personsdischarging management responsibilities have received vesting shares under theterms of the Mothercare plc Long Term Incentive Plan and Share Matching Scheme.The shares vested on 21 July 2006 pursuant to conditional awards originally madeon 21 July 2003. The disposals referred to below were made on 21 July 2006 . TheMothercare Employee Trust subsequently re-acquired the shares disposed of by theparticipants. The price in both transactions was 342p per share. The sharesacquired by the Mothercare Employee Trust will be used in fulfilling futureincentive share scheme awards made by Mothercare plc. The Trust holds 3,297,110shares following this transaction equivalent to 4.53% of the issued sharecapital. Mothercare plc's issued share capital is 72, 711,195 ordinary 50pshares.
