Notification of Awards under the Melrose Resources plc Performance Share Plan

Melrose Resources plc (LSE: MRS) ("Melrose") announces the following grant of awards ("Awards") in the form of nil-cost options under the Company's Performance Share Plan ("PSP") on 2 April 2012 at a price of 123p, the opening share price of the Company on that day.

Notes

1 On 30 March 2012, awards made under the PSP on 30 March 2009 were cancelled having failed to attain their minimum performance criteria. The number of PSP Awards outstanding at 30 March 2012 excludes these awards.

2 The Awards will vest on 2 April 2015, but only to the extent that certain performance criteria based on the Company's relative and absolute total shareholder return, and other conditions, are satisfied over three years from the date of grant;

3 No consideration is payable on the grant or vesting of the Awards;

4 The Company has 114,669,178 ordinary shares in issue;

5 The notification of these Awards is intended to satisfy the Company's obligations under the FSA's Disclosure and Transparency Rule 3.1.4.
