Awards granted under the Performance Share Plan

Motorpoint, the UK's leading independent omni-channel vehicle retailer announces that on 16 June 2021 (the "Grant Date") awards of Restricted Shares over ordinary shares of £0.01 each in the capital of the Company ("Ordinary Shares") were made under the Company's Performance Share Plan ("PSP") to the Persons Discharging Managerial Responsibilities as set out below (the "Awards").

The Awards set out below are in the form of nil cost options over Ordinary Shares ("Options") and were granted under and are subject to the terms of the PSP. The Options ordinarily vest on the third, fourth and fifth anniversaries of the grant (in 50%, 25% and 25% portions respectively) and are subject to the grantee's continued service and a performance condition requiring the Remuneration Committee of the Company to be satisfied that the business performance is robust and sustainable, and that management has strengthened the business. Following the vesting of the Options, any vested Ordinary Shares are subject to a holding period which expires no earlier than the fifth anniversary of the Grant Date, during which time they may not be sold. The Options shall ordinarily remain exercisable until the eve of the tenth anniversary of the Grant Date.
