Update on Subscription, TVR and
Investor Presentation via Investor Meet Company
Further to its announcement on 12 December 2023 relating, inter alia, to a direct subscription for new ordinary shares to raise £675,000 at 0.07p per new Ordinary Share, the Company announces that all subscription money has now been received and accordingly admission of the 964,285,714 Subscription Shares to trading on AIM will now take place at 8.00 a.m. on 5 January 2024 (the "Admission").
As set out in the announcement on 12 December 2023, certain Directors and PDMRs of the Company agreed to subscribed for a total of 142,857,140 new Ordinary Shares as part of the Subscription. Accordingly, as from Admission, their interests in Ordinary Shares will be as follows:

The information contained in Appendix 1 below is disclosed in accordance with Article 19 of UK MAR.
Furthermore, as previously announced, the Company is still looking to raise up to approximately £300,000 via an accelerated book build placing and retail offer. The retail offer is expected to be only open to existing shareholders, which will take place at the same price of 0.07p with one for one warrants exercisable at 0.15p for 12 months. A further announcement will be made in due course once this is launched.
Total Voting Rights
As from Admission, the Company's issued share capital consists of 5,333,941,617 ordinary shares with a nominal value of 0.01p each, with voting rights ("Ordinary Shares"). The Company does not hold any Ordinary Shares in Treasury.
Therefore, the above figure may be used by shareholders in the Company as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.

The Company is also pleased to announce that Mark Epstein and Tom Gutteridge will provide a live presentation relating to the Investor Presentation via Investor Meet Company on 09 Jan 2024, at 09.30am.
The presentation is open to all existing and potential shareholders. Questions can be submitted pre-event via your Investor Meet Company dashboard up until 9am the day before the meeting or at any time during the live presentation.
