Director/PDMR Shareholding
Marks and Spencer Group plc (the 'Company') announces the following transactions in the Company's Ordinary 1p shares undertaken by directors / persons discharging managerial responsibility ('PDMRs'):
1. Grant of awards under the Performance Share Plan ('PSP'). As disclosed in the Company's 2025 Annual Report, and as a result of the recent cyber incident, target setting for the 2025/26 PSP awards has been delayed until realistic and sustainable targets can be set. Targets for these awards will be set and disclosed no later than 31 December 2025.
2. Grant of awards under the Deferred Share Bonus Plan ('DSBP'). PDMRs are required to defer 50% of their bonus into shares.
3. Grant of a Restricted Share Plan ('RSP') award to Alison Dolan, to compensate for her 2024 annual bonus which was forfeited on resigning from her role at Rightmove plc.
For the purpose of these awards, the five-day average share price immediately preceding the date of grant of £3.476 was used.
