Director's ShareΒ Dealing
The Company was informed on 20thΒ NovemberΒ 2008 thatΒ on 31stΒ October 2008, Rock Holdings Limited ("RHL") transferred 2,000,000Β Ordinary Shares of 25p each in the Company ("Ordinary Shares"), held in the name of STM Fidecs Nominees Limited to Southern Rock Insurance Company Limited ("SRICL"),Β in exchange for the issue to RHL by SRICL of 400,000 Β£1 preference shares. The value ascribed to the Ordinary SharesΒ being transferred was 20p per share. The Ordinary Shares will remain registered in the name of STM Fidecs Nominees Limited.Β Following the above transaction:

Mr Arron F A Banks, Chief Executive Officer and Director of the CompanyΒ is beneficially interested in 37.5 per cent. of the issued share capital of SRICL.Β MrΒ Arron F AΒ Banks is also beneficially interested in 51% of the issued share capital of RHL.Β
Mr ArronΒ F AΒ BanksΒ also owns 25,000 Ordinary Shares constituting 0.04% of theΒ issued ordinary share capital of the Company, all of which are registered in the name of Rene Nominees (IOM) Limited.
The totalΒ number of Ordinary Shares, in which MrΒ F AΒ Banks is beneficially interested,Β remains unchanged atΒ 8,654,645 constituting 13.64% of the issued ordinary share capital ofΒ the Company.Β
