Director's Share Dealing

The Company was informed on 20th November 2008 that on 31st October 2008, Rock Holdings Limited ("RHL") transferred 2,000,000 Ordinary Shares of 25p each in the Company ("Ordinary Shares"), held in the name of STM Fidecs Nominees Limited to Southern Rock Insurance Company Limited ("SRICL"), in exchange for the issue to RHL by SRICL of 400,000 £1 preference shares. The value ascribed to the Ordinary Shares being transferred was 20p per share. The Ordinary Shares will remain registered in the name of STM Fidecs Nominees Limited. Following the above transaction:

Mr Arron F A Banks, Chief Executive Officer and Director of the Company is beneficially interested in 37.5 per cent. of the issued share capital of SRICL. Mr Arron F A Banks is also beneficially interested in 51% of the issued share capital of RHL. 

Mr Arron F A Banks also owns 25,000 Ordinary Shares constituting 0.04% of the issued ordinary share capital of the Company, all of which are registered in the name of Rene Nominees (IOM) Limited.

The total number of Ordinary Shares, in which Mr F A Banks is beneficially interested, remains unchanged at 8,654,645 constituting 13.64% of the issued ordinary share capital of the Company.
