Total Voting Rights

In accordance with Disclosure and Transparency Rule 5.6.1, the issued share capital of Mears Group PLC as at 31 August 2008 comprises 73,669,948 ordinary shares of 1p each with voting rights and there are no shares held in treasury.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Mears Group PLC under the FSA's Disclosure and Transparency Rules.
