RECOMMENDED OFFER FOR SUPPORTA PLC BY MEARS GROUP PLC 

PUBLICATION OF OFFER AND EQUIVALENT DOCUMENTS 

On 18 December 2009, the boards of Mears Group PLC ("Mears") and Supporta plc ("Supporta") announced that they had reached agreement on the terms of a recommended share exchange offer to be made by Mears for the entire issued and to be issued share capital of Supporta.

Mears announces that the Equivalent Document relating to the New Mears Shares to be issued in connection with the Offer has today been approved by the UK Listing Authority. 

Mears announces that it is posting today to Supporta Shareholders the Equivalent Document and an Offer Document in connection with the Offer containing, inter alia, a letter from the Chairman of Supporta recommending the Offer (together with ancillary documents).

The First Closing Date of the Offer is 2.00 p.m. on 12 January 2009.

Copies of the Equivalent Document have been submitted to the UK Listing Authority and will shortly be available for inspection at the UK Listing Authority's Document Viewing Facility, which is situated at:

In addition, copies of the Equivalent Document and the Offer Document will be available for inspection during normal business hours on Monday to Friday of each week (public holidays excepted) at the offices of Investec Bank Plc, 2 Gresham Street, London EC2V 7QP up to and including the date of Admission and will also be published at www.mearsgroup.co.uk.
