Proposed Scheme of Arrangement - amendment to notice
LXB Retail Properties Plc, the Jersey resident closed-ended real estate investment company focused on edge of town and out of town retail assets, announced on 5 February 2018 that it had posted documentation to its shareholders on 3 February 2018 regarding, among other things, a proposed reorganisation of the Company by way of a Jersey Scheme of Arrangement (the "Scheme") and the convening by the Royal Court of Jersey Samedi Division of a meeting of the shareholders to consider the Scheme (the "Court Meeting"), the notice of which is contained in the scheme circular (the "Scheme Circular").
It is noted that there is a typographical error in the notice of the Court Meeting on page 51 of the Scheme Circular (the "Notice") with regard to the time and date by which the blue Forms of Proxy should be returned. In line with the rest of the Scheme Circular and the blue Form of Proxy the requested time and date of return for the blue Forms of Proxy should be by 12.00 noon on 23 February 2018 (and not by 12.00 noon on 25 February 2018 as incorrectly stated in the Notice) and the Notice is hereby amended accordingly. Please note that if blue Forms of Proxy are not returned by 12.00 noon on 23 February 2018, they may still be handed to the Company's registrar at the venue of the Court Meeting or the Chairman at the Court Meeting before the taking of the poll.
As previously announced, both the Court Meeting and the Annual General Meeting have been convened for 27 February 2018 at the offices of the Company Secretary, Intertrust Fund Services (Jersey) Limited, 44 Esplanade, St Helier, Jersey, JE4 9WG. The Court Meeting will commence at 12.00 noon and the Annual General Meeting will commence at 12.30 p.m. (or as soon thereafter as the Court Meeting is concluded or adjourned).
