Further to the announcement released on 17 September 2009 in relation to a Convertible Loan Agreement, JSJS Designs Plc (AIM:JSJS), today announces that Centaur Financial Services Limited ("Centaur") has agreed to convert its Β£160,000 debt into 16,000,000 Ordinary Shares of 0.1p each, representing 8 per cent of the enlarged issued share capital of the Company. Under the terms of the Convertible Loan Agreement these shares have been allotted and issued at 1p.Β
Application for these shares to be admitted to trading on AIM has been made and is expected to occur onΒ 20Β November 2009. The new Ordinary Shares will rank pari passu with the existing Ordinary Shares in issue. Following this issue the Company will haveΒ 216,000,000Β ordinary shares ofΒ 0.1 pence each in issue.Β
In accordance with the transitional provisions of the Disclosure and Transparency Rules of the Financial Services Authority, the Company confirms that, following this issue, its issued share capital comprises 216,000,000 Ordinary Shares of 0.1 p each. All of the Ordinary Shares have equal voting rights and none of the Ordinary Shares are held in Treasury. The total number of voting rights in the Company is therefore 216,000,000.Β
This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules.Β
Following this transactionΒ all of the previously outstandingΒ convertible debtΒ will be converted into equity.Β
