Latchways plc (the "Company")

Notification of transactions of Directors/Persons discharging managerial responsibility and connected persons

The following directors have each been granted a conditional award of units under the Latchways plc 2010 Value Creation Plan ("2010 VCP") on 16 August 2010. The 2010 VCP was approved by shareholders at the General meeting held on 13 August 2010 and full details of the plan were outlined in the Notice of General Meeting dated 21 July 2010. No payment was made for the grant of the awards.

Awards made on 16 August 2010

DN Hearson 110 units (27.5% of the total issued units under the 2010 VCP) AJ Hogg 80 units (20% of the total issued units under the 2010 VCP) RA Orton 80 units (20% of the total issued units under the 2010 VCP)

Units have no value at grant, but subject to the satisfaction of earnings per share, total shareholder return, share price and dividend performance targets the units can convert and give participants the right to be granted nil cost options over ordinary shares in the Company at the end of the performance period on 15 August 2013. The total issued units under the 2010 VCP represent potential rights for its participants to be granted nil cost options over up to 6.2 per cent of the current issued share capital of the Company.

The Company was informed of the above transactions relating to the Awards on 16 August 2010, such notification having been given by such directors in accordance with the requirements of paragraph DTR 3.1.2R of the Disclosure and Transparency Rules of the Financial Services Authority.
