Result of General Meeting

The Board of London Capital Group is pleased to announce that at the Company's General Meeting held earlier today all of the resolutions set out in the Notice of General Meeting contained in the circular to shareholders dated 22 March 2011 (the "Circular") were duly passed. These resolutions gave the authorities needed for the issue of 13,333,333 new ordinary shares (the "New Shares") at a price of 60p per share in order to raise approximately £8.0 million before expenses by way of a placing (the "Placing").

Full details of the Placing were set out in the Circular. Application has been made for the New Shares to be admitted to trading on AIM. Admission and commencement of dealing in the New Shares is expected to occur at 8.00 a.m. on Monday 11 April 2011.

Following the admission of the New Shares, the Company's total issued share capital will be 53,185,908 ordinary shares of 10p each. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
