Director/PDMR Shareholding
LBG Media plc (AIM: LBG), the UK-based multi-brand, multi-channel digital youth publisher, is pleased to announce that, as previously set out in the Admission Document, the following Directors and Persons Discharging Managerial Responsibility ("PDMRs") have been granted awards by way of a nil cost option ("Base Award") and an acquisition of shares in LBG Holdco Limited (the "Stretch Award"), together the "Total Award", under the Company's Long Term Incentive Plan (the "LTIP" or the "Plan"). The Awards entitle the PDMRs to acquire ordinary shares of £0.001 each in the Company ("Shares") up to the maximum number set out below, subject to the satisfaction of certain performance conditions and continued employment.
As previously set out in in the Admission Document (available on the Group's website www.lbgmedia.co.uk), the Base Amount will be subject to stretching financial targets over the three financial years beginning FY22. Subject to and conditional on the achievement of the Base Amount, the Stretch Amount will vest subject to stretching total shareholder return targets of 25%, 50% and 75% CAGR over the three financial years beginning FY22.

The maximum aggregate number of Shares that can be issued pursuant to the Total Award is 3,567,857 Shares (the "Award Shares"). In the event all of the Award Shares are issued, and no other Shares have been issued by the Company at that time, the Award Shares will represent 1.7% of the resulting issued share capital of the Company. In the event all of the Award Shares are issued, and all other existing options over Shares are exercised ("Total Option Shares"), and no other Shares have been issued by the Company at that time, the Total Option Shares will represent 5.0% of the resulting issued share capital of the Company if 75% CAGR total shareholder return is achieved over the performance period (i.e. resulting in a share price of £9.38).
