Issue of Shares
Keywords Studios, the international technical and creative services provider to the global video games industry, today announces the issuance of 26,085 new ordinary shares to a vendor of Xcelerator Machine Translations Limited ("Xcelerator") in respect of the deferred share consideration due on the anniversary of Xcelerator being acquired. Keywords Studios is due to issue a further 12,614 new ordinary shares to the vendor in six months' time and the remaining consideration of up to €2.9m will become payable, in a mix of cash and shares, based upon performance targets for 2020, 2021 and 2022.
Since the acquisition, the shares to be issued relating to Xcelerator have been fully represented in the reported earnings per share numbers through the basic and diluted weighted average denominators used.
Application has been made to the London Stock Exchange for the admission of 26,085 new ordinary shares to trading on AIM. Admission of the new shares is expected to take place at 8:00am on 21 December 2020. The Company's total issued share capital following admission will consist of 74,059,678 ordinary shares of one pence each with one voting right per share. The figure of 74,059,678 may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company following admission.
