Completion of Acquisition of The Insurance Partnership Holdings Limited

Jelf, an independent consultancy which provides advice across a broad range of insurance, financial and employee benefit services to corporates and related individuals, is pleased to announce that, following approval from the FCA, it has now completed the acquisition of the entire issued share capital of The Insurance Partnership Holdings Limited ("TIP") as announced on 13 May 2013 (the "Acquisition"). The integration of the two businesses, including the delivery of value enhancing synergies, is underway.

Pursuant to the share purchase agreement relating to the Acquisition, the Company has issued and allotted 3,364,112 new ordinary shares of 1p each at 92p per share (the "New Ordinary Shares") to certain of TIP's key senior management team and key sales people.

The New Ordinary Shares will rank pari passu in all respects with the existing ordinary shares of the Company. Application has been made to the London Stock Exchange for the New Ordinary Shares to be admitted to trading on AIM ("Admission"). It is expected that Admission will become effective and that dealings in the New Ordinary Shares will commence at 8.00 a.m. on 2nd July 2013.

Following Admission of the New Ordinary Shares, the Company's voting share capital will consist of 85,323,507 ordinary shares of 1p each, all with voting rights. This figure may be used as the denominator for the calculations by which shareholders should determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
