Results of General Meeting

In connection with the circular published by JJB Sports plc ("JJB" or the "Company") on 4 April 2012 (the "Circular"), the Board is pleased to announce that each of the Resolutions proposed at the General Meeting held today at 3.00 p.m. to approve the proposed strategic investment and financing package and other related matters was duly passed without amendment by the required majority on a vote conducted by way of a poll.

Further details of the Resolutions are set out in the Circular.

The results are as set out in the table below.

1. Percentages in the table above represent percentages of votes cast.

2. A "vote withheld" is not a vote in law and is not counted in the calculation of the proportion of the votes "for" and "against" a resolution.

Application has been made to the London Stock Exchange for the Warrant Shares and the Subscription Shares to be admitted to trading on AIM. It is expected that admission to AIM will become effective and that dealings in the Warrant Shares and the Subscription Shares will commence at 8.00 a.m. on 27 April 2012.

The Warrant Shares and the Subscription Shares, when issued and fully paid, which amount to 112,500,000 New Ordinary Shares in aggregate, will be identical to and rank in full for all dividends or other distributions declared, made or paid after admission to AIM and in all respects will rank pari passu with the Existing Ordinary Shares.
