ITV plc - Share Awards
In accordance with DTR 3.1.2, ITV announces details of the awards under the ITV Deferred Share Award Plan (DSA), ITV Performance Share Plan (PSP) and ITV Long-Term Incentive Plan (LTIP) which were made on 6 April 2020 as set out below.
The awards have been granted using a 30-day average share price (rather than the usual three-day average). This does not change the Company's Remuneration Policy being proposed at the Company's 2020 AGM.
The Remuneration Committee retains full discretion to adjust final outcomes under the awards to ensure that they are warranted based on the performance of the Group over the period, taking into account all relevant factors.

Notes:
a DSA - These awards were made as restricted shares and the amount awarded was based on the achievement of performance targets under annual bonus arrangements in respect of the period 1 January 2019 to 31 December 2019. Under the rules of the DSA the shares will not release until 6 April 2023.
b. PSP - These awards were made as nil-cost options and are subject to achievement of performance conditions over the three-year period to 31 December 2022. Awards will be exercisable from 6 April 2023 but any portion of the award that does not meet the performance conditions will lapse.
c. LTIP - These awards were made as nil-cost options and are subject to the achievement of performance conditions over the three-year period to 31 December 2022. Any portion of the award that meets the performance conditions will be subject to a further two-year holding period and will become exercisable from 6 April 2025. Any portion of the award that does not meet the performance conditions will lapse.
All awards were calculated using the average share price on the 30-days preceding the award date of 69.91p.
