As disclosed and described in the Remuneration report of the 2010 Report Accounts published yesterday, certain directors and executives of the Company have been granted share awards as set out below.

ITV plc Deferred Share Award Plan (the "DSA")
Β
On 8 March 2011 awards were made over ordinary shares of the Company under the DSA, based on the achievement of performance targets under Annual Bonus arrangements in respect of the period from 1 January 2010 to 31 December 2010 (or the proportion of the year employed by ITV).
Β
The Annual Bonus is awarded one third as cash, one third as restricted shares under a Core Share Award (automatically deferred), and one third taken either in cash or voluntarily deferred into shares as a Voluntary Share Award.

Details of the awards are set out below. The shares subject to this award will not release until 8 March 2014.

ITV Performance Share Plan (the "PSP")

On 8 March 2011 awards were granted as nil-cost options over ordinary shares of the Company under the PSP in the form of a Core Award and a Matching Award. A Matching Award has been made on a 1 for 1 basis if the individual voluntarily deferred one third of their Annual Bonus in the form of a Voluntary Share Award (described above).

The options will become exercisable on the third anniversary of date of grant, 8 March 2014, subject to the achievement of performance conditions.
