ITV Long-Term Incentive Plan (the LTIP)
Following shareholder approval of the new LTIP at the AGM held on 14 May 2014, on 30 May awards were granted as nil-cost options over ordinary shares of the Company to a number of directors and senior executives.

The number of options that will become exercisable is subject to the achievement of a financial performance gateway and stretching strategic performance conditions on the third anniversary of the date of grant, 30 May 2017.
Any portion of the award that does not meet the performance conditions will lapse. 50% of any portion of the award that meets the performance conditions will become immediately exercisable from May 2017. The remaining 50% will be held for an additional one-year holding period and become exercisable in May 2018.
