INTERSERVE PLC - Total Voting Rights

In accordance with DTR 5.6.1A, the total number of voting rights and capital as

at the date of this announcement is 128,725,708 Ordinary Shares of 10 pence

each. This is an increase of 1,564,400 shares since the previous disclosuremade on 28 March 2013 resulting from the vesting of awards under the InterservePerformance Share Plan 2006.

The above figure of 128,725,708 shares may be used by shareholders as the

denominator for notifications of voting control over the Company's shares.

The Company does not hold any Ordinary Shares of 10 pence each in treasury and

has no other category of share in issue.
