Interserve Plc Notification of Transactions of Directors/ Persons Discharging Managerial Responsibility and Connected Persons

Interserve Plc (the "Company") was notified on 8 August 2011 that the Trustees of the Interserve Share Incentive Plan 2009 had purchased that day the following Ordinary Shares of 10 pence each in the capital of the Company at a price of 285.50 pence per share on behalf of the Executive Directors and Persons Discharging Managerial Responsibilities ("PDMRs") listed below:
