Interserve Plc Notification of Transactions of Directors/ Persons Discharging Managerial Responsibility and Connected Persons Pursuant to Disclosure and Transparency Rule 3.1.4, Interserve Plc (the"Company") announces that the following Executive Directors/Persons DischargingManagerial Responsibilities ("PDMRs") exercised their options under theInterserve Sharesave Scheme 2009 on 1 July 2013. The shares were transferred by Capita Fiduciary (in its capacity as Trustee ofthe Interserve Employee Benefit Trust), into the names of the respectiveExecutive Director/PDMR (or connected person) on 3 July 2013. These options were originally granted on 14 May 2010 at an exercise price of214.50p per share. The Sharesave Scheme is an all-employee HMRC-approved sharescheme and the exercise of options on maturity is not dependent uponperformance criteria. Executive Directors 1. 423 shares were acquired by Mr S L Dance and transferred into the name ofhis wife, Mrs V A Dance. Mr Dance now has an interest in 101,226 ordinaryshares of 10p each in the Company (0.08% of issued share capital). 2. 423 shares were acquired by Mr A M Ringrose. Mr Ringrose now has an interestin 400,652 ordinary shares of 10p each in the Company (0.31% of issued sharecapital). 3. 423 shares were acquired by Mr D I Sutherland. Mr Sutherland now has aninterest in 98,711 ordinary shares of 10p each in the Company (0.08% of issuedshare capital). PDMRs 1. 423 shares were acquired by Mr T Bradbury and transferred into the name ofhis wife, Mrs G S Bradbury.
