Result of AGM

Update on Share Consolidation

Inspired (AIM: INSE), a leading technology enabled service provider supporting businesses in their drive to net zero, controlling energy costs and managing their response to climate change, today held its Annual General Meeting ("AGM") at the offices of Gateley Legal, Ship Canal House, 98 King Street, Manchester, M2 4WU, where all resolutions were duly passed.

The proposed consolidation of the Company's existing ordinary shares of £0.00125 ("Existing Ordinary Shares"), such that every 10 Existing Ordinary Shares will be consolidated into one new ordinary share of £0.0125 each ("New Ordinary Shares") ("the Consolidation"), was approved by shareholders pursuant to resolution 11 at the AGM.

Admission of New Ordinary Shares will take place at 8.00 am on 3 July 2023. With effect from this date, the Group's share capital and total voting rights will comprise 100,488,780 New Ordinary Shares. Consequently, 100,488,780 is the figure which may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in Inspired, under the FCA's Disclosure and Transparency Rules.

The results of the votes received in relation to the resolutions will be made available on the Company's website at www.inspiredplc.co.uk/reports-and-presentations.

The Inspired board notes that in respect of Resolution 10 (a non-binding, advisory resolution to approve the remuneration report), 23.61% voted against this resolution. The board has engaged with shareholders to understand their views, in accordance with the QCA Corporate Governance Code.
