Notice of EGM

Infrastructure India plc (LSE: IIP - Ordinary Shares, IIPW - Warrants), a closed-ended investment company providing direct access to India's fast-growing market for infrastructure assets, today announces that it is convening an Extraordinary General Meeting of its shareholders to be held on 15 September 2008 (the "EGM").

The purpose of the EGM is principally to obtain the necessary authority to raise additional equity capital. For the avoidance of doubt the passing of the resolutions at the EGM will not oblige any existing Shareholders to subscribe for any new Ordinary Shares.

Raising additional equity capital reflects the existence of a strong pipeline of potential investments, as demonstrated most recently by the announcement on 15 August 2008 of the Company's second acquisition, subject to usual completion conditions, of a 26 per cent. shareholding in a 125km toll road project in central India and the statement that the Company had deployed a substantial proportion of the net proceeds raised at the time of the Company's IPO on the 30 June 2008 in acquisitions that meet its investment criteria.

Furthermore in the short time since IPO the pipeline has developed significantly and now includes a broad range of potential new transactions across the country with some of India's leading road construction companies as well as other transportation projects and a number of energy projects.

The EGM will take place at IOMA House, Hope Street, Douglas Isle of Man IM1 1AP on Monday 15 September 2008 at 3.00pm.

Notice of the EGM has been posted to shareholders today and a further announcement will be made following completion of the EGM.
