ICAP plc ("the Company")

Treasury shares

On 11 September 2015, the Company transferred a total of 31,681 shares as follows:

· 15,106 ordinary shares at £2.74 per share to participants in its 2012 Sharesave Scheme;

· 7,644 ordinary shares at £2.72 per share to a participant in its 2013 Sharesave Scheme; and

· 8,931 ordinary shares at £3.02 per share to a participant in its 2014 Sharesave Scheme.

These shares were previously held as treasury shares.

Following the above transactions, the Company holds 13,608,978 ordinary shares in treasury, and has 650,928,028 ordinary shares in issue (excluding treasury shares).
