The Company has today issued to shareholders the annual report and financial statements for the year ended 31 March 2009, the notice of annual general meeting 2009, the ICAP Scrip Dividend Scheme and the form of proxy/scrip mandate form.
Copies of the annual report and financial statement for the year ended 31 March 2009, the notice of annual general meeting 2009 and the ICAP Scrip Dividend Scheme have been submitted to the UK Listing Authority and will be available for inspection at the UK Listing Authority's Document Viewing Facility, which is situated at:

Scrip Dividend Calculation Price
The scrip calculation price for the 2008 final dividend, if approved at the Company's forthcoming annual general meeting, will be the average of the middle market quotations for the Company's ordinary shares derived from the Daily Official List of the London Stock Exchange for the five consecutive business days beginning on the ex-dividend date on 15 July 2009 . The scrip calculation price in respect of the 2008 final dividend will be announced by the Company to the London Stock Exchange and detailed on the Company's website at www.icap.com on 22 July 2009.
If shareholders have any queries regarding the Scrip Dividend Scheme or require another mandate form they should contact the Company's Registrar, Equiniti, on 0871 384 2268*. The mandate form must be returned to Equiniti to arrive by no later than 5pm on 31 July 2009 in order for it to be effective for the 2008 final dividend.
