Havelock Europa PLC05 April 2006 5 April 2006 HAVELOCK EUROPA PLC ("the Company") Vesting of ordinary shares under the Havelock Europa Restricted Share Plan("RSP") and Directors Dealings The Company announces that, in accordance with the rules of the RSP, the awarddated 20 January 2003 vested 77,037 ordinary shares of 10 pence each ("AwardShares") to two Directors of the Company on 4 April 2006. The vesting of AwardShares was the result of the Company meeting certain performance targets onreturn on capital employed in the period 1 January 2003 to 31 December 2005. The Directors both sold all of the Award Shares on 4 April 2006 at a price of160.5 pence per Award Share. Of the 77,037 shares sold, 31,586 were sold tofund the PAYE and NIC liabilities arising on vesting.
