Disclosure of Directors interest in shares

Havelock Europa plc announces that under the Long Term Incentive Plan 2006, the

Remuneration Committee has made the following conditional awards of shares to

the Executive Directors of the Group:

HEO Balfour 426,073 ordinary shares of 10 pence each

R Lowery 344,914 ordinary shares of 10 pence each

GM Findlay 286,710 ordinary shares of 10 pence each

These awards will vest after the preliminary announcement of results for the year to 31 December 2011 at nil cost based on the rules of the scheme dependent on the achievement of targets in relation to Earnings Per Share ('EPS') and Return on Capital Employed (RoCE) during the performance period which is the three financial years commencing 1 January 2009. Each award comprises an EPS element representing 50% of the award and a RoCE element representing the balance.
