Result of General Meeting, Director Dealing and TVR
Hummingbird Resources plc (AIM: HUM) is pleased to announce that the Resolutions were duly passed at its General Meeting held earlier today.
As detailed in the 10 March 2023 update, with the Resolutions now passed at the General Meeting, the sum of the CIG Investment, the Subscription and the Open Offer, results in total gross proceeds for the Company of c.US$17.1 million.
Admission and Total Voting Rights
Application has been made to the LSE for the admission of the 117,724,008 CIG Second Tranche Shares, 15,150,000 Subscription Shares and 7,920,997 Open Offer Shares to trading on AIM, which is expected to take effect on or around 14 March 2023 (''Admission'').
Following Admission, the Company's issued share capital will consist of 596,568,699 Ordinary Shares, all with voting rights. The Company currently does not hold shares in treasury. The total number of voting rights in the Company following Admission is therefore 596,568,699, which may be used which may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure Guidance and Transparency Rules.
PDMR Notification
As previously announced, Thomas Hill, Finance Director of the Company, subscribed for 83,339 Open Offer Shares. Following such subscription, Thomas Hill is beneficially interested in 491,574 Ordinary Shares, representing approximately 0.08 per cent. of the Company's issued share capital following Admission.
