TOTAL VOTING RIGHTS

As at 29 May 2015, the issued share capital of the Company (excluding 42,310,923 Sterling Shares and 3,521,749 US Dollar Shares held in treasury) was as follows:

Sterling Shares: 393,201,134

US Dollar Shares: 32,614,565

All shareholders have equal voting rights based on the number of shares held. Accordingly, the total number of voting rights in the Company is 425,815,699 (excluding 42,310,923 Sterling Shares and 3,521,749 US Dollar Shares held in treasury) and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure and Transparency Rules.
