Information for shareholders of JSC Halyk Bank

In accordance with the agreements between Joint-stock company "Sovereign Wealth Fund "Samruk-Kazyna" (the "Fund") and JSC "Halyk Bank" ("Halyk Bank") in relation to the realization of joint measures aimed at supporting the growth of the realsector of the Kazakhstan economy as part of the Government's stabilization program, Halyk Bank plans to receive additional funding till the 1st of June 2009 from the Fund in the amount of KZT 33 billion through the sale of its preferred shares. There will consequently be an overall increase in Halyk Bank's capital of KZT 60 billion, representing the previously completed issue of new common shares aggregated with the new issue of preferred shares.

The sale of Halyk Bank's preferred shares to the Fund will be carried out after the offer of Halyk Bank's preferred shares on a pre-emptive basis among the existing holders of preferred shares in Kazakhstan. 

Halyk Bank is therefore offering 575,258,000 of Halyk Bank's preferred shares in Kazakhstan only at the price of KZT 168.42 per share, as required by Article 16 of the Law of the Republic of Kazakhstan "On joint stock companies".
