Update statement on AGM voting result
In accordance with the UK Corporate Governance Code, Hochschild Mining PLC (the "Company") provides an update with regards to the level of dissenting votes cast on the re-election of Dionisio Romero Paoletti as a Non-Executive Director at the AGM held on 21 May 2020.
The Company is aware that the voting reflected investors' concerns with regards to Mr Romero's availability and commitment to the Company in light of the number of other directorships that he holds.
The Company's Nomination Committee (the "Committee") met yesterday and considered the concerns expressed as part of its annual deliberations on the composition of the Board. The Committee noted that Mr Romero resigned from the board of NYSE-listed Credicorp Ltd in June 2020 and received reassurances from Mr Romero on his ongoing availability and commitment to Hochschild Mining and that he will not accept any additional listed company directorships. Taking this into account and the fact that Mr Romero acts as a nominee director of the Company's major shareholder under a Relationship Agreement, the Directors are unanimous in their conclusion that the Company continues to benefit from Mr Romero's experience of managing sizeable businesses in Peru and the wider region, but also of his knowledge of corporate finance.
The Company welcomes ongoing dialogue with its shareholders and other stakeholders on this and other matters.
