HALMA p.l.c. TREASURY SHARES

Halma p.l.c. announces that on 12 August 2008 it transferred 446,433 ordinary shares held by the Company in Treasury in satisfaction of awards made to employees on 11 August 2005, under the provisions of the Company’s Performance Share Plan (the ‘Plan’), which have vested in accordance with the Plan rules.
In addition to the above, a further 266,066 shares held in Treasury were sold on 12 August 2008 at 189.115p per share in order to finance the associated tax liabilities.
Following the above transfer and sale, the Company holds 851,314 ordinary shares in Treasury. The total number of ordinary shares in issue (excluding treasury shares) is 374,360,563.
