HALMA p.l.c.DIRECTORS' AND PDMRs' SHARE TRANSACTIONS

AND PURCHASE OF OWN SHARES

In accordance with 3.1.2R of the Disclosure Rules, notification is hereby given of transactions in the 10p ordinary shares of Halma by Directors and senior executives (persons discharging managerial responsibility), as follows:

VESTING OF PERFORMANCE SHARE AWARDS

Notification is given relating to Performance Share Plan ('PSP') awards originally granted on 11 August 2008 and which vested on 11 August 2011 at 100% of the original award in accordance with the Rules of the PSP and the relevant performance criteria. Further to the vesting, shares were sold on 11 August 2011 primarily to finance the associated tax liability at 368.597 pence per share (the volume weighted average share price for 10 August 2011). Details are as set out below.

After the transactions set out above, the beneficial holdings of Directors and PDMRs, including family interests, in the 10p ordinary shares of Halma have increased as set out below.

EXERCISE OF SHARE OPTION AND SHARE SALE

At a meeting of the Share Plans Committee of the Board of Halma p.l.c. held on 11 August 2011, 60,000 shares were allotted to Adam Meyers (Director) under the Rules of the 1999 Company Share Option Plan at an exercise price of 145.67p per share.

Adam Meyers also sold 40,000 shares at 368.597p per share on 11 August 2011.

After the above transactions, the total beneficial holding of Adam Meyers in the ordinary shares of the Company increased by 20,000 and is reflected in the increased beneficial holding detailed in the table above.

PURCHASE OF OWN SHARES

Halma p.l.c. has purchased 820,579 of its ordinary shares on 11 August 2011 through J.P. Morgan Cazenove at the volume weighted average price for 10 August 2011 of 368.597 pence per share. The purchased shares will not be subject to cancellation and will all be held as treasury shares in order to satisfy awards under the Halma p.l.c. Performance Share Plan 2005 ('PSP').

Following the above transactions, Halma p.l.c. holds 1,165,673 ordinary shares as treasury shares. The total number of ordinary shares in issue (excluding shares held as treasury shares) is 377,244,208 shares.

GRANT OF PERFORMANCE SHARE AWARDS

Notification is given relating to PSP awards over Halma 10p ordinary shares granted on 12 August 2011 and vesting on 12 August 2014, subject to performance criteria. Awards are granted for nil consideration. Details are as set out below:
