PDMRs' INTEREST IN SHARES

At a meeting of the Share Plans Committee of the Board of Halma p.l.c. held on 7 December 2010, a total of 111,054 additional ordinary shares in the Company were allotted under the provisions of the Company's Share Option Plans to senior executives (PDMRs), following the exercise of share options, as set out below.

In addition, primarily to finance the exercise of the share options and the associated tax liabilities, the PDMRs sold shares as set out below on 7 December 2010.

Following the issue of ordinary shares as a result of transactions carried out on 7 December 2010, the issued ordinary share capital of the Company, excluding treasury shares, is increased to 376,853,627 shares.
