PDMR Shareholding

Notification of Transaction of Directors, Persons Discharging Managerial Responsibility ("PDMR") or Connected Persons in accordance with Disclosure Rules 3.1.4R(1)(a).

The Company announces the following Director and PDMRs of the Company have yesterday announced that they have exercised an option to purchase ordinary shares of 0.4p each in the Company ("Ordinary Shares") under the Company's All Employee Save As You Earn ("SAYE") scheme. The exercise price was £0.55 per Ordinary Share and the options were originally granted pursuant to the Hargreaves Lansdown 2007 SAYE scheme.

The Ordinary Shares issued in respect of this exercise of options have been satisfied by way of transfer of Ordinary Shares from the Company's Employee Benefit Trust.

The Save As You Earn scheme is an all employee scheme and the above are part of a larger employee exercise which took place on 1st May totalling 3,673,725 shares, representing 0.775% of the total issued share capital. A total of 171 employees participated in the scheme.

On 2nd May 2012, the Company also received notification that Mrs Tracey Taylor, a Director, sold a total of 8,700 Hargreaves Lansdown PLC 0.4p ordinary shares, and that a connected person, Mr J Taylor, sold 2,300 Hargreaves Lansdown PLC 0.4p ordinary shares at a price of 529 pence per share.

The total number of ordinary shares sold represents 0.002% of the ordinary shares in issue. Mrs Taylor's resultant shareholding (including her connected parties) is 745,641 ordinary shares, which represents 0.16% of the issued share capital.

Hargreaves Lansdown (Nominees) Limited is the registered shareholder as nominee for the above Director and PDMRs.
