Notification of Transaction of Directors, Persons Discharging Managerial Responsibility ("PDMR") or Connected Persons
Long Term Incentive Plan vesting and share sale
Hargreaves Lansdown plc (the "Company") has been notified that on 25 September 2015 the following PDMRs exercised the following share options:

No new shares have been issued as a result of the exercise of the share options.
Following the exercise of the share options, Mr Dampier sold a total of 52,441 ordinary shares of 0.4 pence in the Company ("ordinary shares") at a price of £12.2002 per share on 28 September 2015. The number of ordinary shares sold represented 0.01% of the ordinary shares in issue. Following the transaction, the beneficial shareholding of Mr Dampier (including his connected persons) is 807,297 ordinary shares representing 0.17% of the ordinary shares in issue.
Following the exercise of the share options, Mr Gardhouse sold a total of 40,250 ordinary shares at a price of £12.166 per share on 28 September 2015. The number of ordinary shares sold represented 0.01% of the ordinary shares in issue. Following the transaction, the beneficial shareholding of Mr Gardhouse (including his connected persons) is 819,438 ordinary shares representing 0.17% of the ordinary shares in issue.
In each case, the sales were made wholly or partly to meet the taxation arising on exercise of the share options and the purchase costs of the shares.
Cancelled Save As You Earn
The Company has also received notification from Ian Hunter and Mark Dampier that they have cancelled their 2014 Save As You Earn arrangements. Further details are shown below:

Notes:
(1) Mr Dampier and Mr Gardhouse were each awarded 60,000 shares on 31st December 2012 (the "Award") under the terms of Company's Long Term Incentive Plan.
(2) The performance conditions attaching to the Award comprised three elements:
· 1/3 of the Award was subject to growth of the Company's earnings per share;
· 1/3 of the Award was based on Net New Business flows; and
· the remaining 1/3 was based on Net New Client levels.
(3) As disclosed on page 53 of the Company's Annual Report and Accounts for the year ended 30 June 2015, the Net New Business and Net New Client performance criteria were achieved in full and 62.21% of the EPS performance target was achieved. Accordingly, 52,441 options have vested.
