Exercise of ShareSave Options

Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules.

Hill & Smith Holdings PLC announces that it has been notified of the following exercise of employee share options by Derek Muir, Chief Executive of Hill & Smith, under its 2005 Employee ShareSave Scheme.

Derek Muir acquired 1,328 ordinary shares on 2 January 2013 through the exercise of his ShareSave options at an option price of 318.60 pence per share following the maturity of the ShareSave grant made in 2007. The 1,328 ordinary shares arising from the ShareSave exercise are being held in the name of Mrs Diane Muir.

As a result of this exercise of ShareSave options Derek Muir now has a beneficial interest in 117,656 ordinary shares of the Company and conditional performance LTIP awards for 379,960 ordinary shares of the Company.
