Admission to Official List of Ordinary Shares and Total Voting Rights

Further to the announcement made by HICL Infrastructure Company Limited (the "Company" or "HICL") on 22 March 2017, the Board of Directors is pleased to announce that the 163,522,013 New Ordinary Shares issued in connection with HICL's Placing, Open Offer, Offer for Subscription and Intermediaries Offer have been admitted to the Official List of the UK Listing Authority and to trading on the premium segment of the Main Market of the London Stock Exchange.

Unconditional dealings in the Shares commenced at 8.00 a.m. today, trading under the ticker HICL.

In conformity with the Disclosure Rules and Transparency Rules of the UK Listing Authority, as at today's date, HICL's issued share capital consists of 1,622,465,676 Ordinary Shares of 0.01p each, with no Ordinary Shares held in treasury. The total issued share capital with voting rights is therefore 1,622,465,676.

The figure of 1,622,465,676 may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure Rules and Transparency Rules of the UK Listing Authority.
